Japanese chipmaker Renesas Electronics is set to acquire printed circuit board (PCB) design software company Altium Limited for USD 5.9 billion, aiming to streamline the electronics design process and gain valuable customer insights.

The acquisition is expected to be completed in the second half of 2024, subject to approval by Altium shareholders, Australian court approval, regulatory approvals and satisfaction of other customary closing conditions.

Renesas manufactures semiconductors for Toyota and Nissan. Through the acquisition of Altium, Renesas aims to create a more efficient and user-friendly electronics design platform, streamlining the entire process from concept to chip integration. This combined offering could potentially lower development costs and accelerate innovation within the industry.

 

The deal, expected to close in the latter half of 2024, involves Renesas paying USD 68.50 per share for Altium, representing a 34% premium over its pre-announcement closing price. Renesas plans to finance the acquisition through a combination of new loans and existing cash reserves.

The acquisition enables two industry leaders to join forces and establish an integrated and open “electronics system design and lifecycle management platform” that allows for collaboration across component, subsystem, and system-level design. The transaction strongly aligns with Renesas’ digitalization strategy and represents the company’s first significant step in bringing enhanced user experience and innovation to the system level for electronics system designers.
