SOS Limited, the NYSE-listed blockchain and cryptocurrency services company, has announced that its wholly owned Singapore subsidiary, Future Digital Trading Pte. Ltd., has entered into a non-binding Framework Cooperation Memorandum with an Indonesian company covering the potential development of a 500-megawatt wholesale AI and cloud data center campus in Indonesia's Galang Batang Special Economic Zone on Bintan Island, Riau Islands Province.
The memorandum was signed on September 15, 2026, and the announcement was made public on September 18, 2026. The agreement sets out preliminary principles covering cooperation terms, land and power arrangements, a funding mechanism, and a six-month due diligence period.
The memorandum is non-binding except for certain specified provisions, including those relating to representations and warranties, a framework agreement deposit, confidentiality, binding effect, and governing law.
Project Scope and Phase One Construction
If the project proceeds as contemplated, SOS expects Phase One construction to deliver approximately 50 megawatts of capacity, with the full platform ultimately targeting 500 megawatts. The final investment structure, equity percentages, valuation, board arrangements, and exit mechanisms are all to be determined through subsequent definitive documents.
The project remains subject to the completion of due diligence, negotiation and execution of definitive agreements, financing, and applicable regulatory approvals. Yandai Wang, Chairman and Chief Executive Officer of SOS Limited, described the memorandum as an important step in the company's strategy to expand into digital infrastructure.
"Southeast Asia is experiencing significant growth in AI data center demand, and Bintan offers proximity to Singapore with potentially lower power and land costs and special-economic-zone advantages," Wang said. "Subject to successful completion of due diligence and definitive documentation, we believe a 500MW platform could position the Company to participate in a growing infrastructure market."
Strategic Location and Power Arrangements
KEK Galang Batang lies within the Singapore-Johor-Riau growth corridor and is described as offering sub-2-millisecond connectivity to Singapore, where land and power constraints have been driving demand into neighboring Malaysia and Indonesia. SOS cited these factors as underpinning the site's strategic rationale.
Under the terms of the memorandum, the local Indonesian partner will use commercially reasonable efforts to secure no less than 60 megawatts of effective power capacity prior to commissioning of the first phase. The memorandum contemplates a ten-year coal-index-linked pricing formula intended to provide competitive, market-responsive electricity costs.
The company noted that final power pricing, terms, and conditions remain subject to negotiation and execution of definitive power supply documentation, and that actual delivered electricity prices will depend on coal market conditions and other factors.

Wholesale Colocation Model and Tenant Interest
The campus is expected to operate on a wholesale colocation model, delivering large, dedicated, high-density data halls to hyperscale and AI customers under long-term arrangements. SOS disclosed that it has received indicative, non-binding expressions of interest aggregating approximately 180 megawatts from prospective tenants, which it described as including certain global cloud, internet, and AI platforms.
The company was careful to note that these indications remain subject to negotiation, definitive customer contracts, and credit support, and that there can be no assurance that definitive agreements will be reached on the expected terms, or at all.
Capital Structure and Financing Approach
SOS indicated that if the project proceeds, it currently expects to fund the platform through an equity and project-finance structure, with senior debt expected to be arranged with institutional lenders. No financing arrangements have been finalized, and the company stated that the ultimate capital structure, financing terms, partners, and amounts remain subject to the completion of due diligence and negotiation of definitive agreements.
The company also noted it may evaluate various exit or monetization strategies in the future, but that no specific plans have been adopted at this time.
Wang described the company's methodology as disciplined. "Secure power arrangements, develop relationships with potential customers, build in modular phases, and pursue financing supported by contracted revenue," he said, adding that the company intends to move deliberately through diligence and definitive documentation and will update shareholders as milestones are achieved.
Company Financial Position
As of December 31, 2025, SOS reported total assets of approximately USD 465 Million and shareholders' equity of approximately USD 423 Million, characterizing its leverage profile as low. The company argued that its NYSE listing, US GAAP reporting, and cross-border compliance framework, combined with its partners' local resources, provide a foundation to execute the project and satisfy the requirements of international lenders and tenants.
SOS Limited is currently engaged in blockchain-based service solutions, cryptocurrency mining, and commodity trading through its subsidiary SOS International Trading Co. Ltd. Its major trading commodities include mineral resin, soybean, wheat, sesame, liquid sulfur, petroleum coke, and latex.
Conditions and Risks
SOS emphasized throughout its announcement that the memorandum does not constitute a legally binding obligation of the parties to consummate the transaction, beyond certain specified binding provisions. The company stated explicitly that there can be no assurance that the transaction will be completed, that any phase will be built at the scale or timing described, or that the expected financial results will be realized.
The six-month due diligence period outlined in the memorandum represents the immediate next step before any further commitments are expected to be made by either party.
