CVC DIF, the infrastructure strategy of global private markets manager CVC, has signed an agreement to divest Klara Renewables, a portfolio of six operational onshore wind farms in Poland, to Actis, a global investor in sustainable infrastructure. The transaction, announced, marks a full-cycle outcome for DIF Infrastructure VI, the fund through which CVC DIF held the assets.
A Portfolio Built From the Ground Up
Klara Renewables comprises six onshore wind farms across Poland with a combined installed capacity of 171 megawatts. Together, the sites generate approximately 500 gigawatt-hours of clean energy each year.
CVC DIF acquired all six projects at the ready-to-build stage in 2020 and 2021, before steering them through procurement, financing, and construction phases into full operational status.
The portfolio was developed using Vestas turbine technology, which CVC DIF describes as commercially proven, and is supported by long-term operational support arrangements alongside a dedicated local management team based in Poland.
Under CVC DIF's stewardship, the portfolio has delivered approximately 99 percent average technical availability since becoming operational, a figure the firm cites as evidence of the quality of its asset management approach.

Revenue Underpinned by Government Contracts
A significant element of the portfolio's financial profile is the revenue framework underpinning its output. Each of the six wind farms benefits from 15-year contracts for difference with the Polish government.
These contracts secure fixed prices for a significant portion of the expected annual generation across the portfolio, providing long-term revenue visibility for an incoming owner.
This contractual structure, combined with the operational track record of the assets, positions Klara Renewables as a stable, income-generating infrastructure holding within the broader Polish renewable energy landscape.
Poland has been expanding its renewable generation capacity in recent years, and the portfolio represents a meaningful contribution to that buildout in the Central and Eastern European region.

Strategic Logic for CVC DIF
The divestment of Klara Renewables sits within a broader programme of disciplined asset sales that CVC DIF has been executing to return capital to investors in its DIF VI fund.
The firm's Amsterdam-headquartered team has built a dedicated Divestments function to support this effort, operating alongside its Investment teams to manage exits with the same focus applied to acquisitions and asset management.

The transaction is characterised by CVC DIF as a full-cycle outcome, meaning the firm originated, developed, financed and now exits the assets within a single fund lifecycle, capturing the value created at each stage of the project journey rather than acquiring operational assets from a third party.
Buyer Profile: Actis
The acquirer, Actis, is described as a leading global investor in sustainable infrastructure. The firm's acquisition of Klara Renewables adds a significant operational wind portfolio to its holdings in the region. Financial terms of the transaction were not disclosed in the announcement.
Advisers to the Transaction
CVC DIF was advised on the sale by PwC in a financial capacity and by Dentons on legal matters. No adviser details were provided for Actis in the announcement.
