Abu Dhabi's ePointZero to Acquire 90% Stake in Pan-African Power Producer Azura Power

ePointZero, a global energy infrastructure platform and subsidiary of Abu Dhabi-based 2PointZero Group, has agreed to acquire a 90% majority stake in Azura Power Holdings Limited, an established pan-African independent power producer with over 750 megawatts of operating capacity across three African countries.

The transaction, announced on August 31, 2026, marks ePointZero's entry into African power generation and will see it acquire the ownership stakes currently held by Actis and Africa50.

 

Azura Power's founding partner, Amaya Capital, will retain a minority interest of 10% following the close of the deal. Completion remains subject to customary regulatory approvals and closing conditions.

A Platform Built Over Nearly a Decade

Azura Power was founded in 2010 and has since developed into a critical infrastructure operator across Nigeria, Senegal, and Mozambique. The company reports that its assets generate approximately 10% of the grid baseload power in each of those three countries, underscoring its strategic significance to national electricity systems.

The company's flagship asset is the 461-megawatt Azura-Edo Independent Power Plant located near Benin City in Edo State, Nigeria. Beyond existing operations, Azura Power holds a development pipeline exceeding 1.5 gigawatts, which according to the announcement could more than double the platform's total operational capacity in the coming years. That pipeline includes expansions at existing sites as well as additional gas and renewable energy projects already in progress.

Dave Peacock, Group CEO of Azura Power, described the deal as a significant milestone for the company. "We are proud of what our teams have built over the past ten years and the confidence shown by ePointZero is a strong endorsement of that achievement," he said.

 

"With ePointZero now joining Amaya, Azura is well positioned to build on its strong foundations, broaden its opportunity set and accelerate its growth across Africa's energy sector."

 

ePointZero's Strategic Rationale

For ePointZero, the acquisition represents a deliberate move into a region it views as offering long-term demand visibility for power infrastructure. Mohamed Hesham, CEO of ePointZero, pointed to Azura Power's operating track record, experienced management team and market positioning as central to the investment thesis.

"Azura Power brings together many of the qualities we look for in an energy platform: critical operating assets, an experienced management team and a strong position in markets with significant long-term power needs," Hesham said.

 

"We are acquiring a business built on nearly a decade of disciplined execution, with significant opportunity to support its continued growth as demand for reliable power infrastructure across the continent accelerates."

Hesham also noted that the Azura Power acquisition builds on ePointZero's existing strategic investment in Elsewedy Electric, which he described as having an established industrial and engineering, procurement and construction presence across Africa.

 

He said the two investments together deepen ePointZero's capabilities in energy and infrastructure and position the company to pursue additional opportunities across Africa's energy markets.

Abu Dhabi Capital Backing a Continental Energy Gap

The deal is the latest expression of the 2PointZero Group's stated strategy of deploying long-term capital into critical infrastructure. HH Sheikh Zayed bin Hamdan bin Zayed Al Nahyan, Chairman of 2PointZero, framed the investment in terms of the foundational role that reliable power plays in economic development.

"This investment through ePointZero reflects our commitment to deploying long-term capital into critical infrastructure that can support that growth in key markets across Africa."

H.E. Mariam Almheiri, Vice Chair and Managing Director of 2PointZero, added that the acquisition reflects a disciplined approach to identifying businesses with strong fundamentals and local expertise.

 

"As ePointZero continues to expand its global energy platform, the acquisition of Azura Power strengthens our presence in a region where energy demand, economic growth, and long-term opportunity are closely aligned," she said.

Africa's Power Deficit as Investment Context

The announcement situates the transaction against a backdrop of significant and growing energy demand across the African continent. According to figures cited in the release, electricity demand across the African region is expected to nearly double by 2040.

 

The World Bank's data referenced in the announcement puts electricity access across Sub-Saharan Africa at roughly 55%, a figure that points to the scale of infrastructure investment the region requires.

Population growth, urbanization, and industrial development are identified as the primary drivers of that rising demand. The announcement characterizes Africa's power market as entering a period of sustained investment as a result.

Development Finance and Community Programs

Azura Power's projects have historically attracted support from a broad range of multilateral and bilateral development finance institutions. Those listed in the announcement include the World Bank, British International Investment, DEG, the U.S. International Development Finance Corporation, FMO, the International Finance Corporation, MIGA and Proparco.

The company has also operated a social-impact initiative called Power to Change, which the announcement describes as supporting livelihoods and economic opportunity in the communities where Azura Power operates. The company stated it will continue to pair its infrastructure investment with that program following the change in ownership.
