Vertiv Holdings Co. (a global provider of critical digital infrastructure) has announced an agreement to acquire UtilityInnovation Group, a microgrid controls and behind-the-meter power architecture firm, in a deal valued at approximately USD 1.45 billion in cash at closing, with potential additional earnout payments of up to USD 1.15 billion tied to EBITDA performance targets over 12- and 24-month periods.

Deal Structure and Financial Terms

The transaction, announced September 2, 2026, will be executed through Vertiv Corporation, a wholly owned subsidiary of Vertiv Holdings Co. (NYSE: VRT). At the base purchase price of approximately USD 1.45 billion, the acquisition represents roughly 13 times UIG's expected 2027 EBITDA.

Vertiv noted that the EBITDA multiple is anticipated to be significantly lower if the full earnout consideration is paid. The company expects the acquisition to be accretive to adjusted earnings per share in the first year following completion.

The earnout structure links the additional USD 1.15 billion in potential cash consideration to UIG achieving specific EBITDA targets at the 12- and 24-month marks following deal close, tying a substantial portion of the total deal value directly to UIG's near-term financial performance under Vertiv's ownership.

What UIG Brings to Vertiv

Columbus, Ohio-based Vertiv has positioned itself as a global provider of critical digital infrastructure, with an existing portfolio spanning power and cooling systems.

The acquisition of UtilityInnovation Group is designed to extend that portfolio significantly upstream, adding capabilities that currently sit outside Vertiv's existing product and service footprint.

UIG specializes in microgrid controls, onsite generation and energy storage orchestration, microgrid-specific switchgear, and behind-the-meter power architecture.

The company has delivered microgrid systems for AI data center operators across the United States and Europe, drawing on utility relationships and experience with complex, large-scale deployments. Its designs are described as generation-agnostic, meaning architectures can be built around whatever technologies a given site can permit, fuel, and finance.

A core element of UIG's value proposition is its proprietary controls platform and pre-engineered microgrid switchgear, which orchestrate multiple power sources in real time and coordinate them with a facility's critical power train. The company also brings pre-validated reference designs for grid-connected, bridge-to-grid, and islanded site configurations.

Critically, UIG's behind-the-meter architecture expertise allows it to engage customers at the earliest stages of site planning, before equipment is selected. This enables the combined company to help define the power blueprint that shapes downstream infrastructure decisions, rather than entering the picture after key choices have already been made.

The Strategic Logic: Power as a Competitive Constraint

Vertiv's rationale for the acquisition is rooted in a structural shift in how AI data centers are being developed and where competitive pressure is emerging. As grid constraints increasingly limit AI infrastructure deployment, access to power has become a defining factor in how quickly operators can bring new capacity online.

Vertiv Chief Executive Officer Gio Albertazzi framed the acquisition in terms of competitive timing for AI data center operators. "For AI data center operators, competitive advantage increasingly depends on how quickly they can move from site selection to first token," Albertazzi said. "Vertiv has the most complete power and cooling portfolio in the industry.

With UIG, we anticipate extending that portfolio upstream to the utility interconnect and onsite power sources, creating a coordinated architecture from source to chip without tying customers to a single generation technology or supplier."

Albertazzi further described the combined entity's anticipated ability to support grid-connected sites, bridge-to-grid deployments, and islanded sites supplied entirely by onsite generation, while reducing complexity from site planning through rack-level deployment.

UIG Founder and CEO Sidney Hinton described the combination as a natural strategic fit. "UIG was founded to solve increasingly complex power challenges for data center operators through flexible, technology-agnostic architectures," Hinton said.

"Vertiv's global scale, critical infrastructure portfolio and service capabilities make it a strong strategic fit for what we have built. We believe this combination can expand the reach of UIG's microgrid controls and power architecture expertise and create greater value for customers as power becomes an increasingly critical constraint on data center growth."

Extending the Portfolio from Grid to Chip

Prior to this acquisition, Vertiv's offerings were concentrated within the critical power train of a data center facility itself. The UIG deal is intended to stretch that footprint to the grid interconnect at one end and maintain coverage through to rack-level infrastructure at the other, creating what Vertiv describes as an end-to-end architecture that is independent of any single generation technology or supplier.

Microgrid systems, as Vertiv describes them, can coordinate onsite generation and energy storage, reduce reliance on utility power, and provide support back to the grid when needed.

This expanding role for behind-the-meter power architecture is moving decisions about power infrastructure earlier in the data center planning process, with implications that ripple through every subsequent infrastructure choice.

The acquisition is expected to give data center operators faster access to power with less dependence on utility interconnection timelines, the ability to scale site capacity beyond what the grid alone can supply, and a single accountable relationship spanning from grid interconnection through rack-level infrastructure.

Vertiv also noted that its existing systems and controls expertise across the critical power train, combined with UIG's upstream capabilities, is expected to help customers design and deploy integrated power architectures intended to improve speed, resiliency, efficiency, and flexibility in an environment where securing power has become one of the most consequential challenges in AI infrastructure development.
