SWI Group, the Euronext Amsterdam-listed company trading under ticker SWICH, has announced a USD 896.28 million capital increase with institutional investors.
The capital increase is realized through the issuance of new ordinary shares by SWICH in several series, increasing the company's total share capital to 558,399,385 ordinary shares. With this latest transaction, the total equity raised by SWI Group since March 2026 has surpassed USD 1.12 billion.
Funding the Transatlantic Digital Infrastructure Strategy
The transaction marks what the company describes as a major milestone in SWI Group's transformation, providing substantial additional equity capital to accelerate the consolidation and expansion of its transatlantic digital infrastructure and AI compute platform across Europe and the United States.
The proceeds will support the development and scaling of the Group's data center and AI compute capacity, including power infrastructure, compute deployments, and the execution of its development pipeline on both sides of the Atlantic.
Balance Sheet Strengthened and Free Float Expanded
Beyond funding its build-out plans, the capital increase materially strengthens SWI Group's balance sheet and provides the Group with additional financial capacity to execute its growth strategy at scale. The company stated that this includes further investment in AI and increasing its stake in existing investments.
The transaction also broadens SWI Group's institutional shareholder base while enhancing market liquidity and increasing the Company's free float to approximately 20% of the share capital.

Leadership Commentary
Max-Hervé George, Founder and Chief Executive Officer of SWI Group, commented on the transaction, saying, "This transaction is about keeping up to speed with the compute and data center markets. We have a clear strategy, a substantial pipeline, and a strong position across Europe and the United States. We are very pleased to welcome new investors who share our long-term ambition for the Group."
Conditional Investor Options
As part of the transaction, certain investors are granted options in relation to their shares, conditional on ECM milestones. The company did not provide further details on the structure or beneficiaries of these options in the announcement.
Background on SWI Group's Recent Moves
The capital increase comes amid a period of significant corporate activity for SWI Group. In February 2026, the company announced a majority investment in Polarise as it moved into AI compute. The Group also issued a notification of a transaction by a person discharging managerial responsibilities in February 2026, pursuant to Article 19 of the Market Abuse Regulation (EU) No 596/2014.
Outlook
With more than USD 1.12 billion in equity raised since March 2026 and its free float now standing at approximately 20% of share capital, SWI Group says the latest increase in capital provides it with the financial capacity to pursue its data center and AI compute ambitions across Europe and the United States at scale.
