Qualitas Energy (renewable energy company) has signed a definitive agreement to acquire the core European platform of Cero Generation from Macquarie Group, adding a 5.8 gigawatt portfolio of solar photovoltaic and battery energy storage projects spanning the United Kingdom, Italy, and Spain.

A Platform Built Across Three Markets

The transaction, announced, brings together a portfolio that includes over 2 gigawatts of assets either in operation, under construction, or at the ready-to-build stage, along with a further 3.8 gigawatts currently in the development pipeline.

The deal also transfers Cero Generation's local teams and offices in London, Milan, and Madrid to Qualitas Energy, reinforcing the firm's existing presence in all three countries.

Cero Generation was established in 2021 by Macquarie Group and has since operated as a stand-alone portfolio company within the Macquarie structure. The company functions as an independent power producer specialising in the development, construction, and operation of solar PV and battery energy storage system projects across Europe.

Its business model is built around an integrated, in-house approach that covers the full project life cycle, from early-stage development and construction through to ongoing operations.

Strategic Alignment With Qualitas Energy's Industrial Model

Qualitas Energy describes itself as a global investment and management platform with a dual focus on funding and developing renewable energy, energy transition, and sustainable infrastructure.

The company highlighted that Cero Generation's vertically integrated operating model closely aligns with its own industrial approach, making the acquisition a strategic extension of its existing European platform rather than an entry into unfamiliar territory.

The three markets covered by the transaction, the United Kingdom, Italy, and Spain, are ones where Qualitas Energy already maintains an established footprint.

The addition of Cero Generation's local workforce and office infrastructure in those locations is intended to meaningfully expand the firm's capabilities and scale in each market.

Following the completion of the transaction, the acquired business will continue to operate under the Cero Generation brand as an independent portfolio company of Qualitas Energy. The announcement did not specify a timeline for regulatory approvals or a projected closing date.

Fund VI Drives Corporate-Level Deal Strategy

The acquisition is being executed through Qualitas Energy Fund VI, the firm's latest flagship investment vehicle. According to the announcement, one of the fund's core investment strategies is a private-equity-driven approach focused on accelerating growth through larger-scale corporate and platform-level transactions.

The Cero Generation deal is positioned as a direct expression of that strategy, representing the kind of scaled, business-level acquisition that the fund was designed to pursue.

Daniel Parejo, Managing Partner and Chief Investment Officer of Qualitas Energy, stated that Cero Generation represents a natural strategic fit for Qualitas Energy's European portfolio. The announcement quoted him describing the alignment between the two businesses, though the full text of his remarks was not included in the source material.

Scale of the Transaction

At 5.8 gigawatts in total portfolio capacity, the acquisition represents a significant expansion of Qualitas Energy's managed assets in Europe. The breakdown between operational and near-term assets on one side and the longer-range development pipeline on the other gives the firm both near-term generating capacity and a substantial runway of future projects across all three geographies.

The battery energy storage component of the portfolio also reflects a growing dimension of the European renewable energy sector, where storage assets are increasingly being co-developed alongside solar generation projects to address grid stability and capacity requirements.

Cero Generation's presence across the United Kingdom, Italy, and Spain encompasses some of Europe's most active solar development markets. The United Kingdom has seen continued expansion of both utility-scale solar and co-located battery storage, while Italy and Spain remain among the continent's largest solar markets by installed capacity and pipeline activity.

Transaction Structure and Background

The financial terms of the transaction were not disclosed in the announcement. The deal was structured as an acquisition of Cero Generation's core European platform, with the transaction perimeter encompassing the portfolio assets, the development pipeline, and the operational teams and offices across the three markets.

Macquarie Group, the Australian financial services and asset management firm, originally established Cero Generation in 2021 as a vehicle to consolidate its solar and storage development activities in Europe. The company grew under Macquarie's ownership to build the pipeline and operational base that now forms the basis of the acquisition.

Qualitas Energy describes its model as encompassing both the investment management and the industrial development sides of the renewable energy sector, a combination it says allows it to manage assets from origination through to long-term operation. The addition of Cero Generation is framed by the firm as a reinforcement of that model at a greater scale across its core European markets.
