BP Sells US Onshore Wind Business to LS Power for Portfolio Optimization BP has agreed to sell its US onshore wind business, BP Wind Energy North America Inc., to LS Power, a leading development, investment, and operating company focused on the North American power and energy infrastructure sector.
The transaction represents a strategic move by BP to focus and rationalize its low carbon energy portfolio while delivering value for shareholders.
Asset Portfolio and Operations
BP Wind Energy operates a substantial portfolio of wind assets across the United States. The business has interests in 10 operating onshore wind energy assets located across seven US states, with BP directly operating nine of these facilities.
The combined assets have a gross generating capacity of 1.7 GW, representing 1.3 GW net to BP. All wind assets in the portfolio are grid-connected and currently provide power to over 15 offtakers. The business has been marketed as an integrated operation, with its experienced workforce expected to transfer to the new owner upon completion of the deal.
Integration with LS Power Operations
Following the transaction's completion, BP Wind Energy will be owned and operated as part of LS Power's portfolio company Clearlight Energy. This integration will increase Clearlight Energy's operating fleet to approximately 4.3 GW. LS Power brings significant existing infrastructure to the combined operation.
The company currently operates a 21 GW portfolio consisting of renewable energy, energy storage, flexible gas, and renewable fuels assets. Additionally, LS Power maintains more than 780 miles of high-voltage transmission lines in operation, with another 350+ miles currently under construction or development.
Strategic Rationale and Executive Commentary
The sale aligns with BP's strategic focus on optimizing its low carbon energy investments.
William Lin, BP's Executive Vice President for gas & low carbon energy, explained the company's position: "We have been clear that while low carbon energy has a role to play in a simpler, more focused bp, we will continue to rationalise and optimise our portfolio to generate value. The onshore US wind business has great assets and fantastic people, but we have concluded we are no longer the best owners to take it forward."
Lin expressed satisfaction with the arrangement, stating: "I am pleased we have reached a mutually beneficial deal with LS Power and I look forward to working with them to support our people in maintaining safe and reliable operations as we transition ownership."
Paul Segal, CEO of LS Power, outlined his company's strategic approach to the acquisition: "We are focused on a holistic approach to advancing American energy infrastructure that includes improving existing energy assets while investing in transformative strategies that make energy more efficient, affordable and available."
Segal emphasized the quality of the acquired assets, noting they are "well-located with well-structured contracts." He stated that "these new assets will expand our renewable energy presence and help to meet growing energy demand across the US."
Transaction Timeline and Regulatory Process
The deal is expected to conclude by the end of 2025, subject to regulatory approvals. LS Power has expressed commitment to working with the existing workforce, with Segal stating: "We look forward to welcoming the talented teams operating these assets to LS Power and partnering with them to drive value for our stakeholders."
The transaction represents part of BP's broader strategy to prioritize investment choices within its low carbon energy portfolio while maintaining focus on generating shareholder value. The sale allows BP to concentrate resources on areas where the company believes it can be the most effective owner and operator of low carbon energy assets.
