Arcus Infrastructure Partners (independent infrastructure fund manager) has entered into a definitive agreement to acquire 100 percent of Volta Data Centers from Verne (data center developer), in a transaction that brings one of central London's established carrier-neutral colocation facilities under the ownership of a European infrastructure fund manager with existing data centre holdings.

Deal Structure and Timeline

The acquisition will be made through Arcus European Infrastructure Fund 4, known as AEIF4, which has agreed to purchase the entirety of Volta Data Centers. Volta is currently operated as Verne's UK data centre.

The transaction is expected to complete in July 2026, subject to the fulfilment of contractual requirements. The financial terms of the agreement were not disclosed in the announcement, which was made on 2 July 2026.

Arcus was advised on the transaction by Alantra on mergers and acquisitions matters, Ashurst on legal matters, WSP on technical due diligence, Altman Solon on commercial matters, Deloitte on financial and tax matters, and Aon on insurance.

Verne was advised by Guggenheim Securities on mergers and acquisitions, BDO LPP on financial and tax due diligence and vendor assist, and A&O Shearman Sterling LLP on legal matters.

The Asset: Volta Data Centers

Volta Data Centers is a 6MW carrier-neutral colocation and interconnection facility located near the City of London. The site serves customers across the financial services, telecoms, IT, and enterprise sectors. The facility features more than 40 on-site carriers and over 1,200 cross-connects, providing what Arcus described as a strong connectivity infrastructure.

Arcus highlighted the asset's stable contracted revenues, low customer churn, and established position within London's connectivity ecosystem as central to its investment case.

The firm said the acquisition followed an 18-month review of European markets, during which the UK was identified as offering a compelling combination of demand growth, constrained supply and long-term investment opportunity.

Arcus Expands Digital Infrastructure Portfolio

The Volta acquisition marks the second data centre investment for Arcus, building on its ownership of Portus Data Centers, which was made through an earlier fund, Arcus European Infrastructure Fund 3. The firm noted that colocation has been a strategic focus since 2024.

Charlie Scott, Senior Investment Director at Arcus, said the facility stood out as a high-quality investment combining stable contracted revenues, an entrenched position in London's connectivity ecosystem and a clear pathway for growth and commercial improvements.

Scott added that Arcus looks forward to building on this entry point with further acquisitions, signalling an appetite to expand its colocation portfolio beyond the Volta deal.

Arcus Infrastructure Partners describes itself as an independent fund manager focused on long-term investments in European infrastructure, investing on behalf of institutional investors through discretionary funds.

As of today, the firm manages USD 14.19 billion in assets. Its investment focus spans the digital, transport, logistics, industrials, and energy sectors, targeting mid-market and value-add infrastructure opportunities across Europe.

Verne Refocuses on Northern European Low-Carbon Infrastructure

For Verne, the sale of the London facility represents a deliberate strategic repositioning. The company said the agreement enables it to focus its investment and resources on low-carbon, high-density data centre infrastructure across Northern Europe, with a particular emphasis on locations suited to artificial intelligence, high-performance computing and other demanding workloads.

Dominic Ward, Chief Executive Officer of Verne, described the deal as the right next step for the London data centre, its customers and its team. Ward said Arcus is well placed to support the site's next phase of growth and confirmed that Verne will work closely with Arcus to support a smooth transition.

Verne describes itself as a leading Nordic provider of low-carbon, high-density data centers, designing, developing, and operating scalable digital infrastructure.

The company has been backed by Ardian, a global diversified private markets firm, since 2024 and said it is accelerating its expansion throughout the Nordics and Northern Europe.

Market Context

The transaction reflects broader dynamics in the European data centre market, where London remains one of the continent's most significant colocation hubs.

Arcus explicitly cited constrained supply and growing demand as factors underpinning its decision to enter the UK colocation market through this acquisition. The firm's prior 18-month review of European markets culminated in identifying the UK as a priority target, with Volta representing its first executed investment in the country's data centre sector under AEIF4.

The deal also illustrates a continuing trend of infrastructure fund managers directing capital toward digital assets, particularly colocation facilities that offer contracted revenue streams and essential connectivity services to enterprise and financial sector clients.
