Alpha Compute Signs $5.5 Million Deal to Acquire Pennsylvania Oil and Gas Assets for AI Data Center Development

Alpha Compute Corp., the Nasdaq-listed AI infrastructure company, has executed definitive real estate and asset purchase agreements to acquire the assets of an operating oil and gas business in Pennsylvania, the company announced on September 22, 2026. The transaction, valued at USD 5.5 million, encompasses over 300 acres of surface, mineral, and gas rights spanning both the Utica and Marcellus shale formations.

What the Acquisition Includes

The deal secures more than 75 existing oil and gas wells along with complete well pump jack inventories, operational maintenance facilities, heavy equipment, and associated gathering infrastructure.

 

The acreage covers rights in both the Utica and Marcellus shale formations, two of the most significant natural gas and oil-bearing geological layers in the northeastern United States.

Historical documentation from an assessment by Halliburton estimates an average of 10,000 barrels per acre of light Pennsylvania sweet crude oil across the subsurface parcels. Alpha Compute has said it is actively conducting updated geological assessments, modern appraisals, and confirmed site reviews to precisely map reserve potential at the location.

Executive Chairman and President Enzo Villani noted that preliminary evaluations indicate approximately four percent of the surface oil has been extracted to date, characterizing the site as both profitable and financially self-sustaining.

 

The existing oil and gas operations are already generating revenue and operational profit, according to the company. Villani also said the company anticipates a substantial revaluation of the assets given the USD 5.5 million acquisition price.

 

The Strategic Rationale

Alpha Compute, which describes itself as a vertically integrated technology company specializing in GPU-as-a-service and AI Confidential Compute, is positioning the Pennsylvania acquisition as a foundation for next-generation compute infrastructure.

Regulatory and Environmental Compliance

Alpha Compute stated the development will comply fully with local county ordinances and land-use regulations, regional grid policies and interconnection standards, and Pennsylvania Department of Environmental Protection regulations, including applicable operator registration and bonding requirements.

The company also committed to post-closing environmental compliance, plugging assurances, and responsible well management under DEP oversight. Kaiser said the company is honoring local county ordinances, adhering to Pennsylvania DEP regulations, and partnering with regional grid authorities in its development approach.

Community and Economic Commitments

Alpha Compute plans to form binding covenants with local and county governments to guarantee long-term alignment with municipal development goals. The company described the project as a major regional economic engine, projecting the creation of skilled permanent and construction positions, though specific job numbers were not disclosed in the announcement.

The company also cited planned modernization of site utilities and sustainable integration with local energy grid capacity as part of its infrastructure investment commitments. Environmental stewardship measures were identified as a central component of the project framework.
